Job Summary

Responsible for reviewing marketing pieces, proposed design names, and analyzing legal documents, with an emphasis on minimizing risk to the Company. Provides comments and drafts proposed revisions to legal documents, negotiate acceptable language, advises clients on remaining risk and specific provisions, such as nonrenewal time periods, etc. Confers with clients regarding the desired outcome and collaborates with Legal Services Director for direction and guidance, as needed.

Essential Functions

*Review proposed leases, contracts, Terms and Conditions documents, software and other licenses; recommend revisions to internal clients and draft appropriate language; negotiate acceptable revisions, assess and minimize risk to Company; advise client of responsibilities; provide guidance to others help make business decisions.

*Review all marketing pieces, research the United States Patent and Trademark Office (USPTO) database and online websites and make suggestions for changes to minimize the legal risk of allegations of trademark infringement or non- compliance with Federal Trade Commission (FTC) regulations; assess the legal risk of publication and distribution of finalized marketing pieces.

*Review and research the proposed design names of all new products or product lines/collections on the US Copyright Office Database, the USPTO database, and online websites to determine the risk of allegations of legal liability to company for trademark infringement; assess the legal risk of using the proposed name and suggest changes to name if appropriate to lessen risk exposure.

*Review current leases/contracts, analyze and interpret applicable provisions, draft a legal risk assessment of renewing the lease without any amendments to the current lease and/or craft defensible positions that are in the best interest of company in response to specific questions from internal clients.

*Draft licenses for a third party's use of James Avery's designs.

*Draft AIA Architect and Construction Contracts for retail store and corporate real estate projects using the AIA software and templates.

*Perform legal research and drafting memoranda summarizing research.

*Consult with Legal Services Director on complex legal provisions in legal documents, high risk assessments on Marketing pieces and Design names, and other sensitive issues.

*Draft contracts, leases, amendments, legal correspondence, and other miscellaneous legal documents; Interpret and complete estoppel agreements, subordination agreements, and other miscellaneous agreements.

*Coordinate with Risk Management in the review of alleged infringements of Company's copyrights and trademarks by third parties and in determining a course of action to follow in attempting to reduce future infringements.

Minimum Qualifications

*Juris Doctorate (J.D.) from an American Bar Association (ABA) accredited law school.

*Must be licensed to practice law in Texas and in good standing with the State Bar of Texas or eligible to obtain a license by reciprocity.

*Strong proficiency with MS Office to include Word and Outlook.

*Excellent verbal and written communication skills, including the ability to communicate legal concepts and opinions in legal and layman's terms to other attorneys and to business clients.

*Strong critical and analytical skills with ability to perform sound legal analyses and appropriately assess risk.

*Ability to read, comprehend, and interpret legal documents, such as retail store leases, office leases, complex contracts, licensing agreements, etc.

*Ability to work effectively under pressure while maintaining a high degree of accuracy and strong attention to detail with legal reviews and proofreading of leases, contracts, licenses, and terms and conditions documents, and other miscellaneous legal documents.

*Demonstrated ability to meet deadlines while managing multiple priorities concurrently.

*Ability to travel to various work locations as business need requires.

Preferred Qualifications

*Experience drafting and negotiating commercial leases or contracts.

*Experience with Excel and SharePoint.
